Tomasz Grabarek

A graduate of the Faculty of Law and Administration at the University of Warsaw, and the Center for American Law Studies (Levin’s College University of Florida). A legal adviser and a member of the Circuit Chamber of Legal Advisers in Warsaw.

He has acquired his professional experience in the financial sector where he headed the Legal Department in one of French bank, as well as in the Energy sector where he advised to one of the biggest companies operating in the mining and fuel industry in Poland.

He specialises in banking law, insurance law, energy law and providing comprehensive legal services in the area of processes of searching for and mining hydrocarbons. He has provided advisory services in several banking and insurance projects which included, in particular, insurance projects for the biggest investment processes in power engineering industry and co-operation and negotiations with insurance brokers operating on the London market.

He has participated in negotiations and acquisition of insurance coverage for Polish entities dealing with search for and exploitation of conventional deposits of gas and shale gas. He has represented and advised to an international operator on the mining market in the process of organization and implementation of oil and natural gas exploration drills in the Baltic Sea (offshore).

He is fluent in English, Spanish and Russian.

Rafał Szalc

legal adviser, managing partner

A graduate of the Faculty of Law and Administration at the University of Warsaw. He also graduated from the Faculty of Economic Sciences at the University of Warsaw, with specialization in Finance and Banking. He is a legal adviser and a member of the Circuit Chamber of Legal Advisers in Warsaw.

He has acquired his professional experience when co-operating with a renown Polish law firm where his duties and responsibilities included providing on-going services to business entities, including listed companies, corporate matters and advisory services concerning capital transactions. He has also provided advisory services in terms of transactions with international contractors as an in-house lawyer.

An area of his expertise includes capital transactions, negotiations, providing advisory services in corporate matters and managing corporate conflicts, mergers and acquisitions and introduction of securities trade to the regulated market, NewConnect and Catalyst.

He has participated in projects involving public offerings and managing a team of lawyers, in reverse takeover of public companies, acquisition of a re-assurance company, as well as transactions of acquisition and leasing of aircrafts. He has acquired a significant experience in providing advisory services in terms of bond issues, including these requiring complicated securities.

He is fluent in English.


pawel.martynek

Paweł Martynek

legal adviser, partner

A graduate of the Faculty of Law and Administration at the University of Warsaw. A legal adviser, a member of the District Chamber of Legal Advisers in Warsaw. He also completed postgraduate studies in company value management at the Warsaw School of Economics and post-graduate course in corporate law at the University of Warsaw’s School of Law.

He has experience in gaining and implementing concessions for exploration and mining hydrocarbons as well as in obtaining accompanying decisions.

Paweł Martynek specialises in mining, geological and energy law. He has participated in numerous hydrocarbon exploration and mining projects, including offshore ones. He has extensive experience in corporate law including establishing entities, corporate governance implementation and statutory reporting. He has gained experience in contracting, negotiating and supply chain processes in the field of selling fuel gas as well as purchasing highly specialized services and materials’ supplies.

In the years 2003 – 2008, he was worked for Polskie Górnictwo Naftowe i Gazownictwo S.A. (PGNiG), where he held, among others, a position of Director of Domestic Trade Department. His duties included selling fuel gas to strategic customers. He actively participated in the process of financial restructuring of entities from the metallurgical and chemical sectors. In the years 2008 -2017, he held the position of Vice President of the Management Board of ORLEN Upstream Sp. z o.o. being responsible, among others for corporate matters, purchasing, acquisition of insurance coverage and quality systems.

He speaks fluent English.
